3. Project Scope and Deliverables
Scope of Work: The specifics of the services provided will be detailed in a Service Agreement or Proposal, which includes the scope of work, deliverables, timelines, and pricing.
Change Requests: Any changes to the scope of work must be documented and agreed upon in writing. Significant changes may result in additional charges or affect the project timeline.
4. Payment Terms
Fees: Service fees are outlined in the Service Agreement or Proposal.
Payment terms include:
Deposit: A deposit of 50% is required to start the project.
Milestone Payments: Payments may be required at various stages of the project as specified in the Service Agreement.
Final Payment: The remaining balance is due upon project completion, before the final delivery of the website.
Late Payments: Late payments may incur interest charges, and we reserve the right to suspend or terminate services until overdue amounts are settled.
5. Client Responsibilities
Content Provision: You are responsible for providing all necessary content, including text, images, and logos, unless otherwise specified in the Service Agreement.
Approval Process: You must review and approve project deliverables at designated stages. Delays in the approval process may affect the project timeline.
Legal Compliance: You are responsible for ensuring that all content and materials provided for the website comply with all applicable laws and regulations.
6. Intellectual Property Rights
Ownership: Upon full payment, you will own the rights to the final website design and content. Coaching Bees retains the right to showcase the completed project in our portfolio and marketing materials.
License: We grant you a non-exclusive, perpetual license to use the website and its content for your intended purposes. We retain ownership of any proprietary tools, templates, or software used in creating the website.
7. Confidentiality
Confidential Information: Both parties agree to maintain the confidentiality of any proprietary information shared during the project.
Disclosure Exceptions: Confidentiality obligations do not apply to information that is public knowledge or required to be disclosed by law.
8. Warranties and Disclaimers
No Guarantees: We do not guarantee specific results from our services, including but not limited to search engine rankings or website traffic.
Service Disclaimer: Our services are provided “as is” without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages resulting from the use of our services.
9. Limitation of Liability
Liability Limit: Our liability for any claims arising from or related to these Terms or our services is limited to the amount paid for the services in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Coaching Bees and its affiliates, officers, directors, employees, and agents from any claims, liabilities, losses, or expenses arising out of your use of our services or your breach of these Terms.
11. Termination
Termination by Client: You may terminate the Service Agreement by providing written notice. You are responsible for payment for all work completed up to the termination date.
Termination by Us: We may terminate the Service Agreement if you breach these Terms or fail to make timely payments. You will be responsible for payment for work completed up to the date of termination.
12. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by and construed in accordance with the laws of India
Dispute Resolution: Any disputes will be resolved through binding arbitration in India.
13. Changes to Terms
Modifications: We may update these Terms from time to time to reflect changes in our practices or legal requirements. The updated Terms will be effective immediately upon posting on our website.
Notification: We will notify you of significant changes to these Terms by posting the revised Terms on our website or through other communication channels.
